Terms and Conditions Dudley ProFit + Rewards Scheme

The Dudley ProFit + Rewards Scheme (the 'Scheme') is a points based customer loyalty programme open to companies and individual installers who purchase and fit Dudley bathroom products. The 'Scheme' is owned and operated by Thomas Dudley Ltd, a company registered in England & Wales under company number 2399487 and with its registered office at Dauntless Works, PO Box 28, Birmingham New Road, Dudley, West Midlands DY1 4SN. Any correspondence regarding the 'Scheme' should be addressed to the ProFit + Scheme Administrator at: ProFit@thomasdudley.co.uk.

These rules govern the collection and use of ProFit + reward points issued under the Scheme ('Reward Points'). To participate in the scheme, which will run from 1st September 2011 to 31st December 2012 inclusively, you must comply with these Rules, which you should read carefully.

  1. Eligibility

    1. To be eligible to join the 'Scheme' and collect Dudley ProFit + Rewards Points, you must be over 18 years old (if an individual) and have an address in the UK, the Isle of Man or the Channel Islands.

    2. To be eligible to join the 'Scheme' and collect Dudley ProFit + Rewards Points, you must be over 18 years old (if an individual) and have an address in the UK, the Isle of Man or the Channel Islands.

    3. Notwithstanding Rule 1.1, Thomas Dudley Limited reserves the right to invite customers of other Thomas Dudley Group companies to participate in the 'Scheme'.subsidiaries, holding company or such companies' subsidiaries or holding companies (as the same are defined under s1159 Companies Act 2006);

    4. The Company reserves the right to reject and/or refuse registration application to the 'Scheme' at any time at its absolute discretion. The following (among others) do not qualify to participate in the 'Scheme'. By accepting the terms and conditions you confirm that you do not fall within any of the following categories:
      a) Employees of Thomas Dudley Limited or of its subsidiaries, holding company or such companies' subsidiaries or holding companies (as the same are defined under s1159 Companies Act 2006);

  2. Collecting Reward Points

    1. To be able to start collecting points under the 'Scheme' you must obtain a Dudley ProFit + Rewards Scheme points card or register online at www.thomasdudley.co.uk/ProFit and be approved as a participant of the 'Scheme'.

    2. If you choose to collect Dudley ProFit + Rewards Points online, Thomas Dudley Limited will maintain an account that records your Reward Points. Thomas Dudley Limited will also send you details of the number of Reward Points held from time to time and you will be able to view the amount of points in your Reward Account by logging into the 'Scheme' website with your Log-in Details. Any information collected will be used in accordance with the Privacy Policy (see below) and the Data Protection Act 1998 (as may be amended from time to time).

    3. Thomas Dudley Limited may at its discretion correct any mistakes that are made in respect of the number of Reward Points issued to you but recommends that you keep records of your transactions so that you can check that the information held is accurate.

  3. Membership

    1. Subject to your online 'Scheme' registration application being approved, the address and details that the system will hold will be the those which you have provided at the point of registration. If you change your address or other registered details, you must email the ProFit + Scheme Administrator at: ProFit@thomasdudley.co.uk as soon as possible. Alternatively you may go online and update your details yourself once you have logged in.

    2. You are the holder of your Reward Points and are responsible for their security. Thomas Dudley Limited remains the overall owner of all Reward Points and they remain its property at all times, until redeemed by you as the account holder.

    3. It is your responsibility to keep secure any information that might identify you and allow access to your account. Thomas Dudley Limited is not responsible or liable in any way if a person is able to spend any Reward Points as a result of you not taking proper care of your account details. If you lose or accidentally reveal your Log-in Details you should immediately contact the ProFit + Scheme Administrator at: ProFit@thomasdudley.co.uk.

    4. You cannot transfer, sell or use your Reward Points for any purpose except as permitted under these Rules. If you try to transfer Reward Points in any way that is not permitted by these Rules Thomas Dudley Limited reserves the right to take action against you.

  4. Redeeming your Reward Points

    1. If your Reward Account is suspended, you will not be able to access the same or redeem any points accumulated in your Reward Account. Provided your participation is not terminated by Thomas Dudley Limited, the suspension will not prevent you from earning points whilst your Reward Account is suspended.

    2. Reward Points can be redeemed at any point in time up to and including 31st December 2012.

    3. Any Reward Points not redeemed within this time will be forfeited and you will not be entitled to any compensation or damages from Thomas Dudley Limited.

    4. Reward Points can be redeemed against goods or services promoted on the Dudley ProFit + Rewards Scheme points card or online. These include polo tops, sweatshirts, fleece jackets and high street vouchers to the value of £5, £25 and £35. All such products are promoted subject to availability.

    5. You acknowledge that transactions on which the Reward Points are redeemed are made directly with third party merchants (the 'Suppliers'). Thomas Dudley Limited is not responsible for any product information or services supplied through or in connection with them. Any dealings that you may enter into with any Supplier or other third party will be solely between you and that Supplier or other third party including any transaction for the purchase of products from such Suppliers or other third parties. All such dealings will be subject to the Supplier or other third party's terms and conditions and privacy policies applicable to such transactions.

    6. Redeemed Reward Points cannot be used again. If a transaction on which Reward Points are redeemed is cancelled, reversed or not completed, where appropriate we will reverse the associated Reward Points movement when instructed by the relevant Supplier. Your Reward Account balance will be reduced to reflect the points you have redeemed.

    7. Scheme clothing gifts including polo tops, sweatshirts and fleece jackets are manufactured to order and you should therefore allow 30 days for delivery from the date your points are redeemed.

  5. Closing/ Terminating your Rewards Account

    1. You can choose to withdraw your participation in the 'Scheme' at any time by contacting the Dudley ProFit + Rewards Scheme Administrator who can be emailed at ProFit@thomasdudley.co.uk.

    2. Thomas Dudley Limited reserves the right to request proof of purchase for Reward Points in your account and the right to terminate your participation on the 'Scheme' and cancel or suspend any Reward Points in your account by notifying you in writing if Thomas Dudley Limited reasonably believes that:

      • you have acted in a way that harms Thomas Dudley Limited or the 'Scheme' or any third party supplier;
      • you engage in any illegal or fraudulent activities;
      • you collect or redeem Reward Points dishonestly or in a way that breaks these rules;
      • you have acted in a hostile, abusive or aggressive manner towards any of Thomas Dudley Limited's or any third party supplier staff; you have knowingly provided false or misleading information at any time in relation to your participation in the 'Scheme';
      • you have breached any of the terms relating to the 'Scheme';
    3. In the event that your account is withdrawn from the 'Scheme' or is terminated at Thomas Dudley's discretion your right to use any accumulated points will be forfeited and you will not be entitled to any compensation or damages from Thomas Dudley Limited or any third party.

    4. Rewards Points cannot be transferred to other participants in the Scheme or to any other individual.

    5. In the event of death, all Rewards Points will be cancelled.

  6. Liability

    1. Thomas Dudley Limited is not liable for the acts and failures of any Supplier or other third party. Extra terms may apply to any goods or services that you purchase from a Supplier or other third party and it is your responsibility to make a note of these.

    2. Thomas Dudley Limited is not responsible or liable for any failures due to unusual and unexpected circumstances beyond its control, the consequences of which it could not have avoided even if it had taken all necessary care (for example but not limited to, industrial disputes, hostilities, political unrest or natural disasters).

    3. Nothing in these Rules limits or excludes Thomas Dudley Limited liability for death or personal injury to the extent it is caused by its negligence or for fraud.

    4. Thomas Dudley Limited excludes liability for any loss/damage that arises out of or in connection with the Scheme, or for any indirect, special or consequential loss (or any other loss, such as loss of profit, loss of reputation or loss of goodwill).

  7. General

    1. Thomas Dudley Limited may change any element of the 'Scheme' including the Reward Point Policy and these Rules at any time without your consent by publishing the changes on the 'Scheme' website.

    2. Thomas Dudley Limited is not liable for any tax liability that may arise from you taking part in the 'Scheme'.

    3. The 'Scheme' is a stand alone promotion and does not amend Thomas Dudley Limited's normal terms and conditions of trading.

    4. These Rules are governed by the laws of England and subject to the exclusive jurisdiction of the English Courts.

  8. Reward Points Policy

    1. This Reward Points Policy should be read alongside these Rules. Terms defined in the Rules shall have the same meanings when used in this Reward Points Policy.

    2. Reward Points will be included in the packaging of selected Dudley bathroom products as follows:

      • 1 point: Any Dudley Hydroflo inlet float valve
      • 2 points: Any Dudley Turbo 88 flushing syphon or Dudley Niagara mechanical flushing valve
      • 10 points: Any Dudley Vantage or Dudley Miniflo concealed cistern
      • 15 point: Any Dudley Illusion in-wall frame excluding Illusion V and including Illusion Universal, Illusion Compact Universal, Illusion Freestanda, Illusion Bidet and Illusion Basin
      • 20 points: Any Dudley Illusion V in-wall frame
      • 30 point: Any Dudley Electroflo infra-red tap including Electroflo Curve, Electroflo Contemporary, Electroflo Contemporary Light Touch, Electroflo Hygiene, Electroflo Linear, Electroflo Horizon and Electroflo Soap Dispenser
